Please read these Terms of Service ("Terms") carefully before using filezzy.com (the "Service") operated by Filezzy ("we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part, you may not access the Service.

1. Description of Service

Filezzy provides online file processing tools including, but not limited to:

PDF manipulation (merge, split, compress, convert, OCR, sign, etc.)
Image manipulation (resize, compress, convert, crop, remove background, etc.)
Text conversion (HTML, Markdown to PDF; grammar check; word count)
Developer utilities (Base64, JSON, QR codes, hashes, regex, etc.)
Batch processing and multi-step pipelines for PDF and images

Services are provided via our website with four tiers: Guest (no account), Free (registered), Day Pass (24-hour premium), and Pro (subscription).

2. Acceptance of Terms

By using Filezzy, you confirm that:

You are at least 16 years of age
You have the legal capacity to enter into binding agreements
You will comply with these Terms and all applicable laws
Your use does not violate any applicable law or regulation

3. User Accounts

3.1 Account Creation

Some features require account registration. When creating an account, you agree to:

Provide accurate, current, and complete information
Maintain and update your information as needed
Keep your password secure and confidential
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized access

3.2 Account Termination

We reserve the right to suspend or terminate accounts that:

Violate these Terms
Engage in fraudulent or illegal activity
Abuse the Service or its resources
Remain inactive for extended periods (with notice)

You may delete your account at any time through account settings or by contacting support.

4. User Content and Files

4.1 Ownership

You retain full ownership of all files you upload to Filezzy. We do not claim any intellectual property rights over your content.

4.2 License Grant

By uploading files, you grant Filezzy a limited, non-exclusive, royalty-free license to:

Process your files as requested
Temporarily store files to complete operations
Create necessary temporary copies for processing

This license terminates when your files are deleted from our servers.

4.3 Your Responsibilities

You represent and warrant that:

You own or have the necessary rights to upload and process your files
Your files do not infringe any third-party intellectual property rights
Your files comply with all applicable laws and regulations
You have obtained all necessary consents for any personal data in your files

4.4 Prohibited Content

You may not upload or process files that:

Contain child sexual abuse material (CSAM)
Promote terrorism or violence
Constitute hate speech or discrimination
Contain malware, viruses, or harmful code
Infringe copyrights, trademarks, or other rights
Violate any applicable law or regulation
Contain content obtained through illegal means

We reserve the right to refuse processing and report illegal content to authorities.

5. Acceptable Use Policy

5.1 Permitted Use

You may use Filezzy for lawful personal and commercial purposes in accordance with these Terms.

5.2 Prohibited Activities

You agree NOT to:

Use automated bots, scrapers, or similar tools to access the Service
Circumvent usage limits by creating multiple accounts
Attempt to gain unauthorized access to our systems
Interfere with or disrupt the Service or servers
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service for any illegal purpose
Resell or redistribute the Service without authorization
Overload our infrastructure with excessive requests
Share account credentials with others
Misrepresent your identity or affiliation

5.3 Usage Limits

Free and premium accounts have usage limits. Accounts exceeding reasonable usage thresholds may be reviewed for compliance. We reserve the right to:

Implement rate limiting
Require account verification
Suspend accounts for excessive automated use
Upgrade accounts to appropriate plans

6. Premium Subscriptions and Payments

6.1 Subscription Plans

Premium features are available through Day Pass (24-hour access) and Pro subscription plans. Plan details, pricing, and features are displayed on our pricing page.

6.2 Billing

Day Pass provides 24-hour premium access; Pro subscriptions are billed in advance on a recurring basis (monthly or annually)
Payment is processed through our third-party payment provider
You authorize recurring charges until you cancel
Prices are subject to change with notice

6.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You will be charged the then-current rate.

6.4 Cancellation

You may cancel your subscription at any time:

Cancellation takes effect at the end of the current billing period
You retain access to premium features until the period ends
No partial refunds for unused portions of the billing period

6.5 Free Trial

If offered, free trials:

Are limited to one per user
Convert to paid subscriptions unless cancelled
May require payment information upfront

7. Refund Policy

Refunds for premium subscriptions and Day Pass purchases are handled according to our Refund Policy. Please review that policy for eligibility, the EU/EEA cooling-off period, and how to submit a refund request.

8. Intellectual Property

8.1 Our Property

The Service, including its original content, features, functionality, design, logos, and trademarks, is owned by Filezzy and protected by intellectual property laws.

8.2 Restrictions

You may not:

Copy, modify, or distribute our content without permission
Use our trademarks without written consent
Create derivative works based on our Service
Remove any proprietary notices from our materials

8.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without obligation or compensation to you.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OR RELIABILITY OF RESULTS
UNINTERRUPTED OR ERROR-FREE OPERATION

We do not warrant that:

The Service will meet your specific requirements
Results will be accurate or reliable
Errors will be corrected
The Service will be available at all times

YOU USE THE SERVICE AT YOUR OWN RISK.

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILEZZY SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Cost of substitute services
Any damages arising from your use or inability to use the Service

10.2 Liability Cap

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF:

The amount you paid us in the twelve (12) months preceding the claim, OR
One hundred US dollars ($100)

10.3 Exceptions

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Filezzy and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Content you upload or process
Your violation of any applicable law

12. Service Modifications

We reserve the right to:

Modify or discontinue features with or without notice
Update pricing with reasonable notice
Change these Terms at any time
Limit availability in certain regions

Continued use after modifications constitutes acceptance.

13. Termination

13.1 By You

You may stop using the Service at any time and delete your account.

13.2 By Us

We may terminate or suspend your access immediately, without notice, for:

Breach of these Terms
Suspected fraudulent or illegal activity
Harm to other users or the Service
Request by law enforcement

13.3 Effect of Termination

Upon termination:

Your right to use the Service ceases immediately
We may delete your account data
Provisions that should survive termination will remain in effect

14. Governing Law and Disputes

These Terms are governed by applicable law, without regard to conflict of law principles.

14.2 Dispute Resolution

Before initiating formal proceedings, you agree to contact us to attempt informal resolution. Most disputes can be resolved through good-faith discussion.

15. General Provisions

These Terms, together with our Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and Filezzy.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

15.3 Waiver

Failure to enforce any right does not constitute a waiver of that right.

15.4 Assignment

You may not assign your rights under these Terms. We may assign our rights without restriction.

15.5 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control.
